Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Maidly platform (“Maidly,” “we,” “our,” or “us”), operated by Maidly LLC, a Florida limited liability company. By clicking to accept these Terms, creating an account, starting a trial, purchasing a subscription, connecting a third-party service, or otherwise using Maidly, you agree to be bound by these Terms.
If you accept these Terms on behalf of your employer or another company or entity, you represent and warrant that you have full legal authority to bind that company or entity to these Terms. In that case, “you” and “your” refer to that company or entity. If you do not have that authority, or if you do not agree to these Terms, do not use Maidly.
1. Overview of the Service
Maidly is a cloud-based customer relationship management (CRM) platform designed for cleaning and home service businesses. The platform enables users to manage leads, clients, jobs, communications, and marketing in one place. Maidly may integrate with certain third-party applications (including, but not limited to, Thumbtack, QuickBooks, Quo, and Mailgun) to facilitate scheduling, messaging, email delivery, and other business operations.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use Maidly. By using the platform, you represent and warrant that you meet these eligibility requirements and that the information you provide is accurate and complete.
3. Account Registration
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately if you suspect unauthorized access or use of your account. We are not liable for any loss or damage resulting from your failure to protect your credentials.
4. Subscription Billing and Paid Plans
Maidly offers paid subscription plans for access to certain features of the Platform. Unless we expressly state otherwise, paid plans are billed on a recurring monthly basis.
- Subscription Plans and Charges: Paid plans begin when you select a plan, complete signup, and authorize a payment method. You agree to pay all fees, usage charges, and other amounts associated with your selected plan.
- Free Trials: If a plan includes a free trial, you may use the paid features during the trial period without the recurring subscription charge. When the trial ends, your paid subscription begins automatically unless you cancel before the trial ends.
- Payment Authorization: By providing a payment method, you authorize Maidly and our third-party payment processors to store your payment method and charge it for recurring subscription fees, metered or usage-based charges, prorated upgrade charges, taxes, and any unpaid balances due under these Terms.
- Automatic Renewal: Your subscription renews automatically at the end of each billing cycle unless you cancel it before renewal or we state otherwise in writing.
- Cancellation Timing: If you cancel a subscription, the cancellation generally takes effect at the end of the current billing period. Unless required by law or expressly stated otherwise by Maidly, cancellation does not entitle you to a refund or credit for the current billing period.
- Plan Upgrades, Downgrades, and Metered Usage: If you upgrade your plan, Maidly may make the change effective immediately and charge a prorated amount for the remaining portion of the current billing period. If you downgrade your plan, Maidly may schedule the downgrade to take effect on a later date, including at the end of the current billing period. Some plans may include metered or usage-based charges, and you agree to pay those charges based on your actual use of the applicable feature.
- Failed Payments and Past-Due Accounts: If a charge is declined, fails, or is returned, we may retry the charge, mark your account past due, limit features, suspend access, or terminate the subscription or account for non-payment.
- No Refunds: Except as required by law or expressly stated otherwise by Maidly in writing, all fees and charges are non-refundable.
- Taxes: Fees and charges do not include applicable taxes unless we expressly say otherwise. You are responsible for paying all applicable taxes, duties, levies, or similar government charges associated with your subscription or use of the Platform, other than taxes based on Maidly’s net income.
- Pricing and Plan Changes: We may change pricing, plan features, included usage, or billing terms on a prospective basis. If we make a material change to an active paid plan, we will provide notice through the Platform, by email, or by another reasonable method before the change takes effect.
5. Acceptable Use
You agree not to:
- Use Maidly for any unlawful purpose or to violate any applicable law or regulation.
- Interfere with or disrupt the integrity or performance of Maidly or its systems.
- Attempt to gain unauthorized access to Maidly or related systems or networks.
- Use Maidly to transmit spam, fraudulent content, or any material that infringes on the rights of others.
We reserve the right to suspend or terminate accounts that violate these terms.
6. Third-Party Integrations
Maidly may connect with third-party services (such as Thumbtack, QuickBooks, Quo, and Mailgun) to provide enhanced functionality. By choosing to connect a third-party service, you authorize Maidly to exchange necessary information with that provider according to their respective API and data-sharing terms. Maidly is not responsible for the privacy practices, data handling, or performance of these third-party services.
7. Privacy
Our collection and use of personal data are governed by our Privacy Policy. By using Maidly, you acknowledge and consent to those practices.
8. Referral Program Terms
If you participate in Maidly’s referral program, these Referral Program Terms are part of and incorporated into these Terms. If there is a conflict between general platform language and these Referral Program Terms, these Referral Program Terms control for referral participation and payouts.
- Eligibility: Referral participation is optional. To qualify, you must have an active account in good standing and comply with these Terms, our policies, and any referral instructions we provide.
- Qualifying Referrals: Referral earnings are only available for legitimate new customer referrals that we approve. Self-referrals, duplicate referrals, fake accounts, fraudulent activity, abuse, or attempts to game the program do not qualify.
- When Earnings Become Payable: Referral earnings do not become payable just because a link was shared or a signup happened. A referral must meet our program requirements, and the related customer charges must be successfully paid and remain in good standing before an earning is eligible for payout.
- Payout Setup Required: To receive referral payouts by ACH or direct deposit, you must complete our payout setup flow and provide accurate payout information, including your bank account routing number and account number. That setup flow may be hosted by a third-party payout provider acting on our behalf.
- Delays and Failed Payouts: Payout timing is estimated only and is not guaranteed. We may delay, hold, reject, or reissue payouts if information is incomplete or inaccurate, if a payout fails or is returned, if we need to complete fraud or compliance review, or if a third-party payout provider or bank requires additional steps.
- Reversals and Offsets: We may reduce, reverse, cancel, offset, or recover referral earnings or payouts if related customer payments are refunded, reversed, charged back, disputed, or later found to be invalid, or if we detect fraud, abuse, duplicate referrals, self-referrals, policy violations, or mistakes in payout calculations.
- Taxes: You are responsible for determining and paying any taxes, reporting obligations, or similar charges related to referral earnings or payouts.
- Program Changes: We may modify, suspend, or end the referral program, its payout rules, eligibility rules, or commission structure at any time. Unless we say otherwise, changes apply prospectively and do not retroactively cancel payouts that were already finally approved and paid.
9. Intellectual Property
All content, features, and functionality on Maidly (including software, text, graphics, logos, and designs) are owned by Maidly LLC or its licensors and are protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use Maidly solely for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the platform.
10. Disclaimers
Maidly is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that Maidly will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Maidly and Maidly LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of Maidly, even if advised of the possibility of such damages. Our total liability for any claim related to these Terms shall not exceed one hundred dollars ($100).
12. Arbitration and Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Maidly will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration will take place in Florida, United States, before a single arbitrator. You and Maidly agree to waive any right to a jury trial or to participate in a class action. Judgment on the arbitration award may be entered in any court having jurisdiction.
13. Termination
We may suspend or terminate your account at any time, with or without cause, including if you violate these Terms. Upon termination, your right to use Maidly will immediately cease, and we may delete your account data in accordance with our data retention policies.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and notify users via the platform or email. Continued use of Maidly after the changes take effect constitutes your acceptance of the revised Terms.
