End-User License Agreement (EULA)

Effective Date: April 7, 2026

This End-User License Agreement (“Agreement”) is a legal contract between you (“User,” “you,” or “your”) and Maidly LLC, a Florida limited liability company (“Maidly,” “we,” “our,” or “us”), governing your access to and use of the Maidly Customer Relationship Management system (the “CRM”). By clicking to accept this Agreement, creating an account, starting a trial, purchasing a subscription, or otherwise accessing or using the CRM, you agree to be bound by this Agreement.

If you accept this Agreement on behalf of your employer or another company or entity, you represent and warrant that you have full legal authority to bind that company or entity to this Agreement. In that case, “you” and “your” refer to that company or entity. If you do not have that authority, or if you do not agree to this Agreement, do not use the CRM.

1. License Grant

Maidly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the CRM solely for your internal business purposes, subject to this Agreement.

2. Restrictions

  • Do not copy, modify, distribute, or create derivative works of the CRM.
  • Do not reverse engineer, decompile, or attempt to extract the CRM’s source code.
  • Do not rent, lease, sell, sublicense, or otherwise exploit the CRM for unauthorized purposes.
  • Do not use the CRM in violation of any applicable laws or third-party rights.

3. Data and Integrations

The CRM may integrate with third-party services to deliver functionality, including connected business tools and referral payout services. By enabling or using those features, you authorize the sharing and exchange of necessary data with those providers to operate the service.

Our current data-handling practices are described in our Privacy Policy, and referral payout rules are described in our Terms of Service. Those documents may be updated from time to time as described in their own update sections.

4. Subscription Fees and Billing Terms

This Agreement does not create a separate billing framework. Subscription fees, recurring charges, free trials, stored payment method authorization, cancellations, upgrades, downgrades, metered usage charges, refunds, taxes, and other payment terms are governed by our Terms of Service.

5. User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

6. Termination

We may suspend or terminate your access to the CRM at any time, without prior notice, if you violate this Agreement or fail to pay applicable fees due under the Terms of Service. Upon termination, all licenses granted under this Agreement end immediately.

7. Disclaimer of Warranties

The CRM is provided “as is” and “as available.” Maidly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Maidly and Maidly LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the CRM, even if advised of the possibility of such damages. Our total liability for any claim related to this Agreement shall not exceed one hundred dollars ($100).

9. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the CRM will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration will take place in Florida, United States, before a single arbitrator. You and Maidly agree to waive any right to a jury trial or to participate in a class action. Judgment on the arbitration award may be entered in any court having jurisdiction.

10. Changes to This Agreement

We may update this Agreement from time to time. Updated versions will be posted with a revised Effective Date. Continued use of the CRM after changes take effect constitutes acceptance.
